AudioKies End-User License Agreement
This End-User License Agreement ("EULA") is a legal agreement between you ("User" or "You") and AudioKies ("Company" or "We") for the use of AudioKies ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.
1. LICENSE GRANT
The Company grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Software solely for your personal or internal business purposes, strictly in accordance with the terms of this EULA.
2. Restrictions
You agree not to, and you will not permit others to:
- Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Software.
- Sell, rent, lease, distribute, broadcast, sublicense, or otherwise assign any rights to the Software to any third party.
- Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of the Company or its affiliates, partners, suppliers, or licensors.
3. Intellectual Property
The Software is protected by copyright, trademark, and other laws of both the United States and foreign countries. All rights, title, and interest in and to the Software, including all associated intellectual property rights, are and shall remain with the Company.
4. Updates and Upgrades
The Company may from time to time provide enhancements or improvements to the features/functionality of the Software, which may include patches, bug fixes, updates, upgrades, and other modifications ("Updates"). All Updates will be deemed to be part of the Software and subject to the terms and conditions of this EULA.
5. Termination
This EULA is effective from the date you first use the Software and shall continue until terminated. You may terminate this EULA at any time by deleting the Software and all copies thereof from your devices. The Company may terminate this EULA at any time if you fail to comply with any term(s) of this EULA. Upon termination, you must cease all use of the Software and delete all copies of the Software from your devices.
6. Disclaimer of Warranties
The Software is provided "AS IS" and "AS AVAILABLE" without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Company does not warrant that the Software will meet your requirements, achieve any intended results, be compatible or work with any other software, systems, or services, operate without interruption, meet any performance or reliability standards, or be error-free.
7. Governing Law
This EULA and your use of the Software are governed by and construed in accordance with the laws of the State of [Your State], excluding its conflict of law principles.
By using the Software, you acknowledge that you have read, understood, and agree to be bound by the terms of this EULA.
